We reserve the right to modify this Agreement at any time, and such changes will be effective immediately upon posting on this Website. Your continued use of the Website or services after any modifications constitutes acceptance of the revised Agreement.

2. Acceptance of Terms

1. Binding Contract. Your use of this Website and/or purchase of our services indicates that you have read, understood, and agreed to the provisions of this Agreement, forming a binding contract between you and Runestone Pictures.
2. Eligibility. We may, at our sole discretion, deny access or services to anyone, for any reason or no reason at all, including for any violation of this Agreement.

3. Proprietary Rights

1. Ownership of Content. All content, information, and infrastructure on the Website—including text, images, videos, logos, designs, and software—are the property of Runestone Pictures or our licensors.
2. Restricted Use. You agree not to modify, copy, distribute, reproduce, transmit, license, create derivative works from, transfer, sell, or otherwise exploit any of the content found on this Website, except with our express written permission.
3. Prohibited Purposes. You further agree not to use this Website or any of our content for unlawful purposes or in any manner that could damage, disable, overburden, or impair our services or interfere with any other party’s use and enjoyment of the Website.

4. Acknowledgements

By accessing our Website or purchasing our services, you acknowledge and agree:

1. Accuracy of Information. The information you provide to us is accurate, current, and complete.
2. Automated Access. You will not use any robot, spider, scraper, or other automated means to access or monitor any part of the Website without our prior written consent.

5. Disclaimers

2. Copyright & Third-Party Permissions. You are responsible for ensuring that any content, media, or products you provide to us do not infringe on any third-party rights. Runestone Pictures is not liable for any copyright claims arising from materials you supply or request us to use.
3. Platform Compliance. We strive to follow current guidelines on platforms like Facebook and Amazon, but we cannot guarantee acceptance or compliance by those platforms. If your deliverables are not initially approved, we will make reasonable efforts to perform necessary edits.
4. No Performance Guarantee. Runestone Pictures is not a performance marketing agency. We do not guarantee any specific results from the creative or marketing assets we deliver.
5. Live Subjects & Pets. When projects involve animals or other live subjects, outcomes can be unpredictable. If additional production time is required due to non-cooperation or other issues, additional fees may apply.
6. Shipping Liability. We are not responsible for any damage, loss, or delays in shipping products or equipment to and from our facilities.

6. Force Majeure

We will not be liable for failure to fulfill our obligations due to causes beyond our reasonable control, including but not limited to natural disasters, strikes, labor disputes, equipment failures, power outages, or acts of government. In such cases, we will make reasonable efforts to mitigate the effect of these events on our ability to provide services.

7. Refund Policy

1. Upfront Payments. All payments for production, editing, or other creative services must be made in advance.
2. Non-Refundable. Due to the substantial resources and time involved in producing creative content, all payments are non-refundable once the project commences. If a project is canceled, delayed, or postponed by you, all amounts paid remain with Runestone Pictures.
3. 90-Day Fulfillment. You must provide the required product(s) and complete necessary questionnaires within 90 days of purchase. After this period, any unfulfilled order credit may be applied toward another package but is subject to any updated pricing.
4. Chargebacks
   • Initiating a chargeback on a valid charge is considered fraudulent.
   • If we receive a chargeback notice, we reserve the right to halt the project immediately and to recover any fees, costs, or damages incurred.
   • Services will remain suspended until all outstanding balances are paid in full.

8. Publicity & Ownership of Work

1. Ownership of Final Deliverables. Once the final invoice is paid in full, you hold the copyright to the completed creative assets (the “Final Deliverables”).
2. Raw Materials. Runestone Pictures retains ownership of all raw footage, photos, and preliminary materials (“Raw Materials”). We may use, distribute, repurpose, or otherwise exploit such materials at our discretion unless you have purchased rights to those Raw Materials.
3. Promotional Use. Unless specifically agreed otherwise in writing, Runestone Pictures may use portions of the Final Deliverables (or Raw Materials, if they remain our property) for marketing, promotional reels, and portfolio displays.
4. Use of Likeness. By engaging our services, you grant Runestone Pictures permission to use names, images, or likenesses included in the footage for promotional purposes, unless otherwise restricted by a separate written agreement.

9. Delivery Timeline

1. Production Cycle. We generally aim to provide a review copy of your creative content within 15 business days from the date of the shoot, assuming we have received all necessary input from you in a timely manner.
2. Delays. Delays may occur due to late submission of materials, scheduling conflicts, script approvals, actor requests, special locations, or other specific requirements.
3. Questionnaire & Product Shipment. You have 60 days from purchase to ship your product(s) and complete the required questionnaire. If you fail to meet this timeline, we may apply any amounts paid toward future services at current rates, with any price difference payable by you.

10. Revisions

1. Revision Period. Runestone Pictures offers revisions within 14 days of delivering the initial draft of the Final Deliverables.
2. Unlimited Revisions (Within Scope). We will adjust the content as needed to align with your original brief, questionnaire, or creative direction, provided that revisions are purely editorial in nature and remain within the agreed-upon scope. If any requested change requires a reshoot, the Purchaser will be responsible for additional production fees.
3. Additional Charges. New requests beyond the original scope (including additional scenes, significant changes to script, or different actor demographics) will incur production fees and extend the delivery timeline.
4. Timeliness of Feedback. Prompt feedback on revisions helps us maintain the delivery schedule. Delays in your response may result in a revised completion date.

11. Changes to Terms

Runestone Pictures reserves the right to update or modify these Terms & Conditions at any time. By continuing to use the Website or our services after changes become effective, you agree to be bound by the revised terms. If you do not agree with the updated Terms & Conditions, you must stop using our Website and services immediately.

12. Storage & Disposal of Materials

1. Retention. We typically retain Raw Materials, audio, video files, or other intermediate assets for up to 60 days after final delivery. After that time, we may delete or reuse them unless you have purchased ownership rights to these materials.
2. Product Storage. Physical products sent to us for filming or photography may be held for up to 20 days after the project’s completion. If you do not request their return (and cover any associated shipping fees), we reserve the right to donate, dispose of, or otherwise repurpose such items.
3. International Shipping. If you are located outside Canada, you are responsible for any customs duties or international shipping costs to and from our facilities.

13. Indemnification

You agree to defend, indemnify, and hold harmless Runestone Pictures and its officers, directors, employees, contractors, and agents from any claims, damages, liabilities, losses, or expenses (including reasonable legal fees) arising out of or related to:

1. Your breach of this Agreement;
2. Your violation of any applicable law or the rights of a third party;
3. Any content or materials you provide to us, including but not limited to allegations of intellectual property infringement.

14. Limitation of Liability

1. Maximum Liability. To the fullest extent allowed by law, Runestone Pictures’ total liability for any claim related to our services shall be limited to the fees paid by you for those specific services.
2. No Indirect Damages. We will not be liable for indirect, special, consequential, or punitive damages, including but not limited to lost profits, lost data, or business interruptions.
3. No Warranties. Except as expressly stated, Runestone Pictures makes no other warranties or representations regarding the services provided, and we expressly disclaim any implied warranties of merchantability or fitness for a particular purpose.

15. Creative Direction

Runestone Pictures values your input and feedback throughout the production process. However, we maintain overarching creative control to ensure that the final product meets professional standards and is consistent with the quality of our brand.

16. Payment & Compensation

1. Quoted Fees. All service fees will be quoted in U.S. dollars (USD), unless otherwise specified.
2. Time of Payment. Payment is due in full at the time of purchase, or as set forth in any custom quote or invoice arrangement.
3. Taxes. You are responsible for any taxes, duties, or other governmental fees associated with your purchase or use of our services.

17. Governing Law & Dispute Resolution

1. Applicable Law. This Agreement shall be governed by and construed in accordance with the laws of the Province of British Columbia and the applicable federal laws of Canada.
2. Venue. Any dispute arising out of or related to this Agreement shall be brought exclusively before the courts of competent jurisdiction in British Columbia.
3. Mediation/Arbitration. Before initiating a court proceeding, the parties agree to make a good-faith effort to resolve disputes through mediation or, if mutually agreed, binding arbitration.

18. Shot Limitations

The number of shots in a given video is determined by the overall length of the final deliverable:

• 20-second videos will not exceed 12 shots
• 40-second videos will not exceed 24 shots
• 60-second videos will not exceed 36 shots

Should you require additional shots or a different shot count, please discuss any custom needs with us prior to production, as it may impact pricing and timelines.

19. Miscellaneous

1. Severability. If any part of this Agreement is found invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.
2. No Third-Party Rights. Nothing in this Agreement grants any rights or benefits to any third parties.
3. Entire Agreement. These Terms & Conditions constitute the entire agreement between you and Runestone Pictures regarding the use of this Website and our services, superseding any prior or contemporaneous communications.
